Any disputes regarding service quality, product defects, pricing discrepancies, or refusal of discount must first be addressed between the Member and the merchant.

9. Limitation of Liability

To the fullest extent permitted by law, Lorem Elevate LLP shall not be liable for:

• Any indirect, incidental, or consequential damages.
• Loss of profits or business.
• Merchant refusal to honor discounts.
• Errors in merchant listings.

In any event, the Company's total liability shall not exceed the annual membership fee paid by the Member.

10. Account Suspension & Termination

Lorem Elevate LLP may suspend or terminate membership if:

• These Terms are violated.
• Referral programs are misused.
• Fraudulent activity is detected.
• False bank or payment information is provided.

Upon termination, access to benefits may be revoked immediately.

11. Intellectual Property

15. Merchant Obligations & Commercial Terms

15.1 Merchant Participation

Merchants listed on The Baron Club Platform participate pursuant to a separate contractual agreement executed between Lorem Elevate LLP (operating The Baron Club) and the Merchant. By partnering with The Baron Club, the Merchant agrees to comply with all commercial terms mutually agreed in writing, including discount percentages, offer validity, and applicable conditions.

15.2 Discount Integrity & Non-Modification Clause

The Merchant shall:

1. Honor the exact discount percentage and offer terms agreed with Lorem Elevate LLP.
2. Not modify, reduce, withdraw, or alter the agreed discount without prior written approval from Lorem Elevate LLP.
3. Not provide a discount lower than the agreed rate displayed on The Baron Club Platform.
4. Immediately notify the Company in writing of operational or pricing changes affecting agreed discounts.

Any unilateral change without written consent shall constitute a material breach of agreement.

15.3 Prohibition on Unauthorized Discount Reduction

The Merchant shall not:

• Reduce the agreed discount percentage.
• Impose hidden conditions.
• Restrict availability beyond contract terms.
• Refuse discount to a valid Member without justifiable reason.

Failure to comply may result in immediate removal from The Baron Club Platform, suspension of partnership, financial liability for approved Member refunds, and legal action if necessary.

15.4 Merchant Responsibility Toward Members

The Merchant acknowledges that:

• Members rely on discounts displayed on The Baron Club website.
• Failure to honor agreed discounts may cause reputational damage to Lorem Elevate LLP.
• The Merchant must cooperate in resolving disputes.

15.5 Indemnification

The Merchant agrees to indemnify and hold harmless Lorem Elevate LLP from any claims, losses, damages, liabilities, or expenses arising out of failure to honor agreed discounts, unauthorized modification of commercial terms, or misrepresentation of offers.

This Refund & Dispute Resolution Policy governs the circumstances under which Lorem Elevate LLP ("Company", "we", "our", or "us"), the owner and operator of The Baron Club, may process refunds related to membership benefits and merchant discount disputes.

The Baron Club is a membership-based subscription product launched and managed by Lorem Elevate LLP. The Platform facilitates access to discounts offered by third-party contracted merchants. The Company does not sell merchant products or services directly but enables Members to avail benefits from partnered merchants.

2. Eligibility for Refund

A refund will be considered only under the following conditions:

• The Member did not receive the discount that was displayed on The Baron Club website at the time of availing the merchant's service; and
• A genuine conflict arises between the Member and the merchant regarding the applicable discount.

Refunds will not be processed for:

• Change of mind
• Failure to inform the merchant about membership at the time of billing
• Expired membership
• Offers withdrawn or modified before the transaction
• Misuse or fraudulent use of membership benefits
• Failure to comply with merchant-specific terms

3. Time Limit for Raising a Complaint

To be eligible for review:

• The Member must raise the complaint within 7 (seven) calendar days from the date of the transaction.
• Complaints submitted after 7 days from the transaction date shall not be eligible for refund consideration.

4. Refund Claim Procedure

If a Member does not receive the eligible discount, the Member must:

5. Review & Verification Process

• The support team of Lorem Elevate LLP will review the submitted complaint.
• The Company may contact the concerned merchant for verification.
• Additional documents or clarification may be requested.

A claim will be considered valid only if:

• The discount was actively listed on the website at the time of the transaction; and
• The Member satisfied all eligibility requirements.

The decision of Lorem Elevate LLP (The Baron Club) after review shall be final and binding.

6. Refund Amount

If the claim is verified and approved:

• The refund amount shall be limited strictly to the discount amount that the Member was eligible to receive from the merchant.
• No additional compensation, damages, interest, or penalties shall be payable.

7. Refund Timeline

• Approved refunds will be processed within 6–7 working days.
• The refund will be credited to the original mode of payment or via bank transfer, as determined by the Company.
• Processing time may vary depending on banking institutions.

8. Limitation of Liability

Lorem Elevate LLP, through The Baron Club, acts solely as a facilitator between Members and merchants. While we strive to ensure merchants honor listed discounts:

• We do not guarantee merchant compliance.
• Liability is strictly limited to the eligible discount amount.
• The Company shall not be liable for indirect, incidental, or consequential damages.
